1. Information service — not investment advice
QuarterCharts is an information service. The data and visualizations on this website are for educational and informational purposes only and do not constitute investment advice, a solicitation to buy or sell any security, or financial-planning services. Consult a licensed Canadian financial advisor before making investment decisions.
QuarterCharts is not registered as a dealer, adviser, investment fund manager, or any other registrant category under National Instrument 31-103 ("Registration Requirements, Exemptions and Ongoing Registrant Obligations") or under any provincial securities legislation. The Company does not provide personalized investment recommendations and does not solicit specific transactions.
2. Non-registered information provider — CSA NI 31-103 posture
National Instrument 31-103 governs registration of dealers, advisers, and investment fund managers across Canadian Securities Administrators (CSA) jurisdictions. QuarterCharts operates as a non-registered information provider: the Service publishes public regulatory filings and derived visualizations without engaging in any registrable activity (no trading, no advising, no fund management).
Specifically:
- No advising. QuarterCharts does not provide advice to any user on the buying, selling, or holding of any security. Information shown on the Service is general, factual, and historical; it is not tailored to any individual user's circumstances.
- No trading. QuarterCharts does not execute, facilitate, or intermediate any securities transaction.
- No fund management. QuarterCharts does not manage any investment fund, portfolio, or pool of investor capital.
This posture is consistent with the information-only carve-out that CSA jurisdictions recognize for media, research, and data-service providers under the "business trigger" guidance to NI 31-103 (see CSA Staff Notice 31-345 for representative guidance). Users requiring registered advice should contact a registered Canadian dealer or adviser.
3. Provincial securities-act compatibility
This Service is provided to Canadian users from outside Canada and is intended to comply with the information-provider exemptions or non-registrable-activity boundaries in each Canadian province and territory. Notable provincial variants:
- Ontario — Ontario Securities Act (RSO 1990, c S.5). OSC Rule 31-505 ("Conditions of Registration") + NI 31-103 jointly govern.
- British Columbia — Securities Act (RSBC 1996, c 418). BCSC applies NI 31-103 + provincial-specific rules.
- Quebec — Securities Act (RLRQ c V-1.1) administered by the Autorité des marchés financiers (AMF). Additional French-language requirements apply for consumer-facing content (see §6 below).
- Alberta — Securities Act (RSA 2000, c S-4) administered by the Alberta Securities Commission.
If you reside in a province or territory not listed above, the same non-registered-information-provider posture applies; contact your provincial regulator if you require clarification on QuarterCharts's legal status in your jurisdiction.
4. Data sources and attribution (Canada)
Primary regulatory-filings source. Canadian issuer filings shown on QuarterCharts are accessed via SEDAR+ (System for Electronic Document Analysis and Retrieval Plus), the consolidated filing platform operated by the Canadian Securities Administrators (CSA), at https://www.sedarplus.ca/.
Important — SEDAR+ Terms of Use posture. SEDAR+ data is not released under an open license such as the Open Government Licence. The SEDAR+ Public Website Terms of Use restrict use to the information purposes for which the filings are made publicly available under Canadian securities laws. See https://systems.securities-administrators.ca/terms-of-use/ for the full ToU. QuarterCharts re-uses SEDAR+ filings in their intended information-only scope: the Service visualizes public regulatory disclosures for educational and informational purposes, exactly the purpose for which the CSA makes those filings available. QuarterCharts does not collect, use, or disclose personal information contained in any SEDAR+ filing for any purpose unrelated to that information-only scope.
If you are an issuer, an officer of an issuer, or a CSA member and wish to request removal of a specific filing or specific personal information from the QuarterCharts visualization, contact info@quartercharts.com; QuarterCharts will respond and act within a reasonable timeframe.
Foreign-exchange and macro data (Canada). Canadian exchange-rate, interest-rate, and macroeconomic data on QuarterCharts is sourced from the Bank of Canada Valet API, at https://www.bankofcanada.ca/valet/docs.
Per the Bank of Canada Terms of Use (https://www.bankofcanada.ca/terms/):
- QuarterCharts attributes the Bank of Canada as the source of Valet API content and indicates any visualization-derived transformations.
- If any QuarterCharts paid tier includes Bank-of-Canada-sourced content, that paid tier is required to disclose to any prospective purchaser, prior to its distribution or sale, that the data is available free of charge at https://www.bankofcanada.ca/valet/.
Cross-issuer financial backbone. Canadian issuers cross-listed in the United States retain their SEC EDGAR filings as a parallel authoritative source; for those issuers, QuarterCharts may display either SEDAR+ or EDGAR data depending on which jurisdiction's filing is fresher.
Gap-fill. Where primary regulatory data is unavailable, QuarterCharts may supplement using third-party providers under their respective terms of service. Gap-filled values are marked visibly.
5. Trademarks and brand-mark use (Canada)
Company logos, ticker symbols, and company names shown on QuarterCharts are trademarks of their respective owners and are used solely for identification of the company whose data is displayed. Their use does not imply endorsement, sponsorship, or affiliation with the trademark owners. This identification use is consistent with the nominative fair use doctrine as applied in Canadian common law and the Trademarks Act (RSC 1985, c T-13) §22 defence for non-confusing reference uses.
Trademark owners or their representatives may request removal of their marks from the Service by contacting info@quartercharts.com.
6. Quebec — French language and Loi 25
QuarterCharts publishes a French-language version of this Canadian legal-information page at /legal/fr-CA, satisfying the consumer-facing French-language requirement under the Charter of the French Language (RLRQ c C-11) for Quebec residents.
QuarterCharts handles personal information of Quebec users in accordance with Loi 25 (Act to modernize legislative provisions as regards the protection of personal information), including the right of access, right of rectification, right to portability (where applicable), and the explicit-consent posture for processing of personal information. 7. Cookies and consent — Canada
Canada-wide privacy obligations follow the federal Personal Information Protection and Electronic Documents Act (PIPEDA) plus provincial variations (notably Quebec's Loi 25; British Columbia's PIPA; Alberta's PIPA). QuarterCharts implements an essential-only cookie posture by default, with analytics and marketing cookies gated behind explicit opt-in via the cookie consent banner. 8. Disclaimer of liability
QuarterCharts ("the Service") is provided "as is" without warranty of any kind, express or implied. QuarterCharts and BLIP LLC disclaim all warranties to the maximum extent permitted by Canadian federal and provincial law, including warranties of accuracy, completeness, merchantability, and fitness for a particular purpose. In no event shall QuarterCharts or BLIP LLC be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Service. Some Canadian jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.
9. Operator information
QuarterCharts is operated by BLIP LLC, a U.S. Wyoming limited liability company. Renamed from TRUE WOOD LLC to BLIP LLC via Wyoming Certificate of Amendment 2026-05-23. The EIN issued under TRUE WOOD LLC remains valid post-rename. The Company is not a Canadian registrant.
